You are responsible for maintaining the confidentiality of your login credentials. You must notify your administrator immediately of any unauthorized access to your account. Online Distributor is not liable for any loss resulting from unauthorized use of your account due to your failure to safeguard your credentials.

You agree to use Online Distributor only for lawful business purposes. You must not:

• Use the platform to transmit fraudulent, defamatory, or illegal content
• Attempt to gain unauthorized access to any part of the platform, other accounts, or server infrastructure
• Use automated scripts, bots, or scrapers to extract data without permission
• Upload or distribute malware, viruses, or any harmful code
• Impersonate another user, business, or representative
• Use the messaging broadcast feature (WhatsApp, Email, Telegram) to send spam or unsolicited communications not related to legitimate business transactions
• Circumvent or tamper with security features including 2FA, rate limiting, or session management
• Share your credentials with unauthorized parties

You retain ownership of all business data, product catalogs, pricing information, and other content you upload to Online Distributor. By uploading content, you grant us a limited, non-exclusive licence to store and process it solely for the purpose of providing the platform services.

You are solely responsible for:

• The accuracy and legality of all products, pricing, and business information you enter
• Ensuring you have the right to share product data with the dealers in your network
• Content of price lists, messages, and PDF documents generated through the broadcast feature
• Compliance with applicable GST, tax, and invoicing regulations in your region

We do not verify, endorse, or take responsibility for the accuracy of business data entered by users.

Online Distributor provides a B2B distribution management platform including, but not limited to:

• Product catalog and pricing management
• Dealer and distributor network management
• Price list broadcasting via email, WhatsApp, and Telegram
• Order and quotation management
• Wallet and credit management tools
• Audit logging and security features

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We will make reasonable efforts to notify users of planned maintenance or significant feature changes.

We do not guarantee uninterrupted access to the platform and are not liable for downtime, data loss due to technical failures, or third-party service interruptions (including Meta WhatsApp API, SMTP servers, or Telegram API).

The wallet and credit balance features within Online Distributor are tools to record and track dealer credit limits and outstanding balances. These are accounting records only and do not constitute a payment gateway or financial service.

• All financial transactions between distributors and dealers are governed by their own separate business agreements
• Online Distributor is not a party to any financial transaction between users
• Pricing shown on the platform is entered by distributors and may not always reflect current market rates
• The platform is not liable for any pricing errors, disputes, or financial losses arising from transactions conducted between users

The Online Distributor platform, including its design, code, features, branding, and documentation, is the intellectual property of its developer and is protected by applicable copyright and intellectual property laws.

You are granted a limited, non-transferable licence to access and use the platform for your legitimate business purposes. You may not:

• Copy, modify, distribute, or create derivative works of the platform software
• Reverse engineer, decompile, or disassemble any part of the platform
• Remove or alter any proprietary notices, branding, or watermarks
• Resell or sublicense access to the platform to third parties without written consent

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by applicable law, Online Distributor and its operators shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Losses resulting from unauthorized access to your account
• Losses due to third-party service failures (email, WhatsApp, SMS, Telegram)
• Inaccuracy of pricing data or business information entered by users
• Any actions taken by users based on platform data

Accounts may be terminated or suspended in the following circumstances:

• By the user: You may request account deletion at any time by contacting your platform administrator
• By a distributor: Distributors may deactivate dealer accounts within their network at any time
• By an administrator: Platform administrators may suspend or terminate any account for violation of these Terms
• By inactivity: Accounts unused for extended periods may be deactivated per the platform's data retention policy

Upon termination, your right to access the platform ceases immediately. Data retained for legal compliance purposes will be maintained in accordance with our Privacy Policy.

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in India.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of the Terms will remain in full force and effect.
